General Terms and Conditions of Business and Delivery


I. General

These terms and conditions apply solely to individuals conducting business activities (entrepreneurs), public or special law corporate entities.

By placing an order and accepting the order confirmation, the buyer agrees to these terms and conditions. Any objections or alternate terms presented by the buyer are considered irrelevant.

The supplier retains all rights to drawings, designs, calculations, and similar information, and such information may not be shared with third parties without the buyer's consent.

Changes or additions to these terms require written consent.


II. Offer/Scope of Supply

The scope of products offered is outlined in the supplier's quotation. The contract is formed upon acceptance of the order confirmation, which specifies the agreed-upon services.


III. Prices and Payment

Prices are ex-works, inclusive of packaging but exclusive of assembly and VAT. Payment terms require payment within 30 days of the invoice date.


IV. Delivery Time

Delivery time begins with the order confirmation and assumes all necessary conditions are met. Delays due to factors beyond the supplier's control may extend the delivery time. Partial deliveries are allowed, and the buyer must be promptly notified of any delays.


V. Acceptance of Delivery Item

In case of buyer's default in acceptance, payment is still required according to the original terms.


VI. Passing of Risk, Acceptance of Delivery Item

The supplier retains ownership of the delivered item until full payment is received. The buyer may not sell, pledge, or dispose of the item without consent.


VIII. Claims

Buyer must inspect goods upon receipt and report any defects promptly. Defective parts will be repaired or replaced at the supplier's discretion within a specified timeframe.


IX. Compensation

Supplier liability is limited to specific circumstances such as intentional misconduct or defects covered under warranty.


X. Limitation

All claims expire 12 months after delivery, except for compensation claims, which follow statutory periods.


XI. Software

The buyer is granted a non-exclusive right to use supplied software for specified purposes. Modifications to the software are prohibited due to potential risks.
